Terms of Service

Effective 2026-05-04. Please read these terms carefully — by signing in, you accept them.

1. The community

Adaptive Exchange is a private, invitation-only platform for executives, founders, and investors operated by the Adaptive Foundation. Membership is granted at our discretion. We may suspend or revoke access at any time if these terms are violated or the safety of the community is at risk.

2. Eligibility

  • You must be at least 18 years old.
  • You must use your real name, current employer, and a verifiable work email.
  • You must hold a role consistent with the community’s purpose (founder, operator, investor, or invited guest of one).

Misrepresenting your identity, employer, or role is grounds for immediate removal.

3. Acceptable use

You agree not to:

  • Solicit, recruit, or pitch members in deal rooms or communities you were not introduced into for that purpose.
  • Use the platform to send unsolicited fundraising or sales outreach.
  • Scrape, export, or republish member profiles, posts, or messages.
  • Share screenshots of deal-room conversations outside the room without explicit permission from every participant.
  • Post unlawful, harassing, deceptive, or harmful content.
  • Attempt to circumvent the matching engine, the introduction gate, or admin moderation.

4. Introductions and deal rooms

The introductions surfaced by the platform are recommendations, not endorsements. We do not represent any member as an investor, advisor, or fiduciary to any other member. Decisions to do business — including investments, hiring, partnerships, or commercial terms — are entirely between the parties involved.

Deal rooms are private to their participants and to platform administrators (see Privacy Policy §4). Participants are expected to honor the confidentiality of what is shared in a room.

5. Pledges and contributions

Members may indicate willingness to contribute time, capital, or expertise through the pledge intake. Pledges are non-binding statements of intent unless and until you separately execute a written agreement (e.g., a fellowship contribution agreement, a term sheet, or a service contract). The Adaptive Foundation does not act as a transaction facilitator.

6. Content you post

You retain ownership of the content you post. You grant the Adaptive Foundation a worldwide, non-exclusive, royalty-free license to host, display, and distribute that content within the platform for the purposes described in our Privacy Policy. This license ends when you delete the content or your account, except to the extent the content has been incorporated into another member’s record (e.g., a comment they have replied to).

7. Intellectual property

The Adaptive Exchange name, logo, and platform design are the property of the Adaptive Foundation. You may not use them without written permission.

8. Termination

You may delete your account at any time from settings. We may suspend or terminate your access for breach of these terms, community-safety reasons, or extended inactivity. Upon termination, the data-handling rules in our Privacy Policy §6 apply.

9. Disclaimer

The platform is provided “as is”. To the maximum extent permitted by law, the Adaptive Foundation disclaims all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of liability

To the maximum extent permitted by law, the Adaptive Foundation’s total liability arising out of or relating to these terms or your use of the platform will not exceed the greater of (a) the amount you paid us in the twelve months before the claim arose, or (b) one hundred US dollars.

11. Changes

We may revise these terms. If a change is material, we will email registered members at least 14 days before it takes effect. Your continued use after the effective date is acceptance of the revised terms.

12. Governing law

These terms are governed by the laws of Delaware, USA, without regard to its conflict-of-laws rules. Any dispute will be resolved exclusively in the state or federal courts located in Delaware, and you consent to that jurisdiction.
